Terms of Service

Last updated: fill in at publish time.

1. Acceptance

These Terms of Service ("Terms") govern access to and use of Bundly, Refilly, Traderly, and Modtly Studio (the "Services"), operated by Modtly LLC ("Modtly," "we," "us"). By creating an account or connecting your Square account, you ("Web Owner," "you") accept these Terms in full.

2. Description of the Services

Modtly provides software-as-a-service (SaaS) modules that integrate with Square accounts: Bundly (product bundles), Refilly (replenishment subscriptions), Traderly (catalog-based wholesale ordering), and Modtly Studio (custom websites). The exact scope of each Service depends on the plan you purchase.

3. Account and eligibility

To use the Services, you must have an active, valid Square account and connect that account through the authorization (OAuth) flow we provide. You are responsible for the accuracy of the information you provide and for keeping your access credentials confidential.

4. Plans, pricing, and billing

  • Current pricing for each plan is shown on the website at the time of signup.
  • Some Services offer a 14-day free trial ("trial"); no charge is made during the trial. At the end of the trial, billing begins automatically according to the plan and billing interval (monthly or annual) you selected, unless you cancel before that date.
  • Each Square account is entitled to one trial per module; an account that previously subscribed to a module is not eligible for a new trial of that same module, regardless of the current status of that prior subscription.
  • Payments are processed through Stripe. By providing a payment method, you authorize Modtly to charge you on a recurring basis for as long as your subscription remains active.

5. Cancellation

You may cancel your subscription at any time from your dashboard. Upon cancellation, the subscribed Service remains active until the end of the billing cycle already paid for, and does not renew automatically after that date.

6. Refund policy

Except where required by applicable law, payments made are non-refundable, including payments for partial periods of an already-started billing cycle. This policy does not apply to the free trial period, during which no charge is made.

7. Web Owner obligations

You agree to: (a) use the Services in compliance with applicable law; (b) not use the Services for fraudulent or deceptive purposes toward your own buyers; (c) be responsible for your own catalog content, pricing, and policies toward your end buyers; (d) comply with your own privacy obligations toward your end buyers, including properly informing them about data use when you add your own tracking tools (Google Analytics, Meta Pixel, or others).

8. Intellectual property

Modtly retains all rights to the software, brand, and technology that make up the Services. This license does not transfer any ownership rights in the software to you; you receive only a limited, non-exclusive, non-transferable right to use it for as long as your subscription is active.

9. Service availability

Modtly makes reasonable efforts to keep the Services available but does not guarantee uninterrupted availability. We may perform scheduled or unscheduled maintenance that temporarily affects access to the Services.

10. Limitation of liability

To the maximum extent permitted by applicable law, Modtly will not be liable for indirect, incidental, special, or consequential damages arising from use or inability to use the Services, including lost revenue, data, or business opportunities. Modtly's total liability to you, for any cause, will not exceed the amount you paid to Modtly during the six (6) months preceding the event giving rise to the claim.

11. Suspension and termination by Modtly

Modtly may suspend or terminate your access to the Services in the event of a material breach of these Terms, fraudulent use, or non-payment, with reasonable notice where possible.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified with reasonable advance notice. Continued use of the Services after changes take effect constitutes acceptance of them.

13. Governing law and jurisdiction

These Terms are governed by the laws of the State of Wyoming, United States, without giving effect to its conflict-of-laws provisions. Any dispute that cannot be resolved informally will be submitted to the exclusive jurisdiction of the competent state or federal courts located in Wyoming.
